1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the websites, applications, platform, software, and related services provided by Posma AI, Inc. (“Posma AI,” “Company,” “we,” “us,” or “our”), collectively, the “Services.”
Posma AI, Inc. is a Delaware corporation.
By creating an account, purchasing or starting a subscription or trial, or otherwise accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy.
If you use the Services on behalf of a brokerage, company, team, or other organization, you represent that you have authority to act on its behalf with respect to your use of the Services.
If you do not agree to these Terms, do not use the Services.
2. Description of the Services
Posma AI provides an AI-powered personal brand management platform designed primarily for established U.S.-based real estate professionals.
The Services are designed to help users:
- develop personal brand positioning using information they provide;
- translate that positioning into brand and content strategy;
- create weekly strategic direction and content plans;
- create AI-assisted social and professional content;
- develop listing narratives and related marketing content;
- create market briefs and newsletters;
- draft engagement and communication responses;
- maintain greater consistency across personal-brand activities; and
- use compliance-aware safeguards and publication checks where provided.
In general, Posma AI's approach connects:
Positioning → Strategy → Consistent, Compliance-Aware Execution.
The particular features available may vary depending on your subscription, account, product development, usage limits, and other factors.
We may add, modify, improve, replace, suspend, or discontinue features from time to time. We do not guarantee that any particular feature, integration, model, provider, or functionality will remain available indefinitely.
The Services may rely on third-party technologies and service providers, including artificial-intelligence, payment, hosting, authentication, communications, analytics, infrastructure, and other providers.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
The Services are designed primarily for professional and business use in connection with the U.S. real estate industry.
If you are a real estate licensee or otherwise operate in a regulated professional capacity, you are responsible for complying with requirements applicable to you, including applicable laws, regulations, licensing requirements, brokerage policies, MLS rules, advertising standards, and professional obligations.
The availability of the Services does not mean that Posma AI has determined that your particular use is lawful or permitted in your jurisdiction, brokerage, MLS, or professional circumstances.
4. Account Registration and Security
You agree to provide accurate and reasonably current information when creating and maintaining your account.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- activity occurring through your account;
- promptly notifying us if you reasonably believe your account has been compromised; and
- ensuring that your use of the Services complies with these Terms.
Unless expressly permitted by your subscription or by Posma AI, you may not share individual account credentials among unrelated users, impersonate another person or organization, or provide unauthorized access to the Services.
5. Fair Usage Policy
Posma AI subscriptions are designed for normal professional use by individual real estate professionals and other authorized users, not for bulk content generation, automated extraction, resale, or mass-production services.

Usage limits are intended to protect service quality, prevent abuse, and maintain commercially reasonable access for users.
Unless otherwise stated, unused capacity does not roll over to future billing periods and has no cash value.
We may reasonably modify usage limits as the Services evolve, including to address technical requirements, misuse, provider restrictions, or changes in product configuration. Material changes affecting paid subscriptions will be communicated where reasonably appropriate.
Attempts to circumvent usage limits, including through automation, multiple accounts, credential sharing, or other means, may result in restriction or suspension.
6. Brand Profile, Positioning and Strategic Outputs
6.1 Brand Profile
Posma AI allows users to provide information used to establish a Brand Profile and strategic context.
Depending on the features used, this may include information about your:
- market;
- city, state, or ZIP code;
- niche;
- target audience;
- market conditions;
- preferred brand voice;
- business or marketing objectives;
- competitive context; and
- other professional or strategic information.
This information may influence outputs generated across the Services.
6.2 Competitive and Market Information
Posma AI may use competitor descriptions, names, examples, profile references, market observations, and other information supplied by you to develop directional positioning and strategic outputs.
Unless a feature expressly states otherwise, Posma AI does not represent that it independently accesses, continuously monitors, comprehensively researches, or verifies third-party websites, social-media accounts, professional profiles, MLS records, market databases, competitor information, or other external sources.
You are responsible for the accuracy and appropriateness of information you provide and for having any rights or permissions necessary to provide it.
6.3 Nature of Positioning and Strategy
Brand positioning, competitive gaps, local market narratives, strategic recommendations, content directions, and similar outputs are AI-assisted and may be generated probabilistically from information available to the Services.
They represent possible strategic directions.
Posma AI does not represent or guarantee that a positioning opportunity is unique, objectively superior, exclusive, commercially successful, or unavailable to another real estate professional.
Strategic outputs are not a verified or exhaustive competitive audit unless a particular feature expressly states otherwise.
7. AI-Generated Content and Compliance-Aware Execution
7.1 AI-Assisted Service
Posma AI uses artificial intelligence and automated systems to assist with personal branding, strategy, real estate marketing, content development, communications, and related activities.
AI-generated outputs may contain errors, omissions, inaccuracies, outdated information, unintended interpretations, or other inappropriate or incomplete information.
Outputs should not be treated as independently verified facts or professional advice.
7.2 Compliance-Aware Safeguards
Certain Services incorporate compliance-aware safeguards designed to identify, reduce, constrain, or flag common risks associated with U.S. real estate marketing and professional communications.
Depending on the feature, content, and information provided, these safeguards may address considerations relating to:
- Fair Housing;
- discriminatory, exclusionary, or protected-class-related language;
- factual and geographic integrity;
- property and market claims;
- MLS and listing-related practices;
- advertising, attribution, and disclosure considerations;
- professional-scope boundaries;
- fabricated experiences, credentials, testimonials, awards, or claims;
- intellectual-property considerations; and
- other potentially misleading, inappropriate, or high-risk content.
Certain features may also provide publication checks, warnings, reminders, or review considerations relating to facts, permissions, attribution, disclosures, brokerage requirements, or other matters that may warrant human verification.
7.3 No Guarantee of Compliance
Compliance-aware safeguards are risk-reduction and review-assistance mechanisms only.
They do not constitute legal or regulatory review, certification, approval, professional advice, or a determination that any content is compliant.
Posma AI does not represent, warrant, or guarantee that generated content will comply with every applicable federal, state, or local law or regulation; Fair Housing requirement; MLS rule or policy; brokerage policy; licensing requirement; advertising standard; platform policy; disclosure requirement; intellectual-property requirement; or other professional obligation.
Requirements vary by jurisdiction, brokerage, MLS, transaction, property, audience, factual circumstances, and other factors and may change over time.
7.4 User Inputs
The quality, accuracy, and appropriateness of outputs depend in part on information supplied by users.
You are responsible for ensuring that information you submit—including Brand Profile information, property information, market information, listing details, professional experience, credentials, competitor information, instructions, and other content—is accurate, lawful, and appropriate for the intended use.
You may not intentionally use inputs, instructions, or other techniques to circumvent safeguards or generate unlawful, discriminatory, deceptive, or otherwise prohibited content.
Automated safeguards may not identify every problematic input or output and may sometimes flag acceptable material.
7.5 Human Review Required
You must review AI-generated content before publishing, distributing, communicating, or otherwise using it externally.
Depending on the content, this review may include verification of:
- property and factual information;
- market statistics and current-market claims;
- Fair Housing considerations;
- MLS and listing requirements;
- advertising, attribution, and disclosure requirements;
- brokerage and licensing requirements;
- permissions and intellectual-property rights;
- professional-scope considerations; and
- other requirements applicable to your circumstances.
The presence or absence of a warning, publication check, moderation result, or other automated safeguard does not confirm that content is accurate, lawful, appropriate, or compliant.
7.6 User Modifications
You may edit, rewrite, supplement, shorten, combine, or otherwise modify generated content.
Changes you make may alter or remove safeguards reflected in the original output. You are responsible for reviewing the resulting content after modification.
7.7 Final Publication Responsibility
You retain final control over whether and how generated content is published, distributed, communicated, or otherwise used.
You are responsible for final content and its use, whether it was generated entirely or partially by Posma AI, regenerated, edited by you, or combined with other material.
Nothing in the Services relieves you of your independent professional or legal obligations.
7.8 No Professional Advice
Posma AI is a technology and AI-assisted personal brand platform.
Posma AI is not a law firm, regulatory authority, MLS, brokerage compliance department, tax adviser, financial adviser, investment adviser, or other professional advisory service.
The Services do not provide legal, regulatory, brokerage, tax, financial, investment, or other professional advice.
Where professional review is required or appropriate, you are responsible for obtaining it.
7.9 No Performance Guarantees
Posma AI does not guarantee:
- listings;
- leads;
- clients;
- engagement;
- followers;
- conversions;
- revenue;
- market share;
- search or social-media visibility;
- brand authority;
- competitive differentiation;
- becoming the leading or “go-to” agent in a market; or
- any other particular business or marketing outcome.
Statements concerning authority, positioning, market recognition, or similar objectives describe goals the Services are designed to support and are not promises of results.
7.10 Regeneration of Outputs
When a regeneration feature is available, Posma AI is designed to generate a meaningfully different approach or angle while preserving relevant user-provided facts, strategic context, positioning, and applicable safeguards. Because AI-generated outputs are probabilistic and some topics or inputs may allow limited meaningful variation, regenerated outputs may sometimes contain similar ideas, structures, language, or recommendations. Posma AI does not guarantee that every regenerated output will be materially different or unique.
8. Acceptable Use
You may not use the Services to:
- violate applicable law or regulation;
- knowingly create or distribute false, fraudulent, or deceptive property information;
- engage in unlawful discrimination or prohibited Fair Housing practices;
- infringe or misappropriate intellectual-property, privacy, publicity, or other rights;
- impersonate another person or organization;
- harass, threaten, spam, defraud, or deliberately mislead others;
- distribute malicious software or interfere with the security or operation of the Services;
- gain unauthorized access to accounts, systems, or information;
- circumvent usage, security, moderation, or safety controls;
- scrape, extract, copy, or systematically collect information from the Services except as expressly permitted;
- reverse engineer or attempt to discover non-public source code, models, prompts, algorithms, or technical systems except to the extent such restriction is prohibited by applicable law;
- use the Services or outputs in a manner that violates applicable third-party terms or rights; or
- resell or commercially redistribute access to the Services without our written authorization.
We may investigate suspected misuse and take reasonable measures to protect Posma AI, users, third parties, and the Services.
9. Subscriptions, Free Trials and Billing
9.1 Subscription Terms
Certain Services require a paid subscription.
The applicable price, billing frequency, trial or promotional period, included features, usage limits, and other material subscription terms presented during signup or checkout, or otherwise expressly presented as part of an applicable offer, form part of these Terms.
Posma AI may offer different subscription prices, discounts, trials, promotional rates, partner rates, or other special pricing to eligible users, subject to the terms of the applicable offer. Special pricing offered to one user, group, partner, or program does not entitle any other user to the same pricing or terms.
Prices may exclude taxes where applicable.
9.2 Free Trials
Posma AI may offer free or discounted trial periods, which may vary by subscription, user, promotion, partner, or other applicable offer.
If a trial requires you to provide a payment method, the signup or checkout process will disclose the applicable trial period and the subscription price and billing frequency that apply after the trial.
Unless you cancel before the end of the trial, you authorize Posma AI and its payment processor to charge the payment method associated with your account for the applicable subscription fee when the trial ends.
After the trial, unless cancelled before the trial ends, the subscription will automatically convert to the applicable paid subscription at the price and recurring billing frequency disclosed at signup, checkout, or in connection with the applicable offer.
9.3 Special and Promotional Pricing
Posma AI may offer promotional, Founding Member, partner, individual, or other special pricing from time to time. Such offers may include free or discounted trial periods, fixed or percentage discounts, special recurring prices, or other pricing arrangements.
Each offer is subject to the eligibility requirements, price, duration, billing terms, expiration, and other conditions disclosed with that offer. Unless expressly stated otherwise, special pricing is non-transferable, may not be combined with other offers, and does not entitle a user to receive the same or any other special pricing in the future.
Founding Member Pricing. Where offered and validly activated, Founding Member Pricing provides a 90-day free trial followed by a recurring subscription of $49 per month until cancelled. Unless cancelled before the trial ends, the subscription will automatically convert to the $49 monthly subscription. The Founding Member price applies only while the qualifying subscription remains continuously active. If that subscription is cancelled or terminated, the Founding Member price ends and is not guaranteed to be available if the user later subscribes again.
Partner Pricing. Posma AI may make special subscription pricing available to eligible users through selected partners, referral arrangements, or promotional programs. Pricing, duration, eligibility requirements, and other terms may vary by partner or program and will be disclosed with the applicable offer. Receiving a particular partner price does not entitle a user to pricing offered through another partner, program, or promotion.
Individual Discounts. Posma AI may offer individual users fixed, percentage-based, temporary, recurring, or other discounts. The applicable price, duration, eligibility requirements, and other conditions will be disclosed with the applicable offer.
9.4 Automatic Renewal
Paid subscriptions automatically renew at the applicable subscription price and recurring billing frequency disclosed for your subscription or offer unless cancelled before the next renewal charge.
By purchasing a recurring subscription, you authorize us and our payment processor to charge the applicable subscription fees and taxes to your payment method at each renewal until you cancel.
Posma AI may change subscription pricing prospectively, subject to any pricing commitment expressly applicable to your subscription or offer. Where required by applicable law or the applicable offer terms, we will provide advance notice before a new price applies to a subsequent renewal.We may change subscription pricing prospectively. 9.5 Cancellation
You may cancel your subscription at any time using the cancellation functionality made available through the Services or another cancellation method we make available.
Cancellation stops future renewals. Unless otherwise stated or required by applicable law, you may continue using the paid Services through the remainder of the period for which you have already paid.
Cancellation does not automatically delete your account or data. Data handling is governed by our Privacy Policy.
Cancellation of a subscription subject to special or promotional pricing may result in the loss of that pricing. Unless the applicable offer expressly states otherwise, special pricing is not guaranteed to be available if you later resubscribe.
9.6 Refunds
Except where required by applicable law or expressly stated otherwise, subscription payments are non-refundable and we do not provide prorated refunds or credits for partial billing periods, unused capacity, or unused Services.
We may, in our discretion, consider refund requests in exceptional circumstances, such as certain billing errors or accidental renewals where the Services have not been materially used following renewal.
Any discretionary refund is considered case-by-case and does not create an obligation or precedent for future refunds.

9.7 Failed Payments
If payment cannot be completed, we may retry the payment and/or restrict, suspend, or terminate access to paid Services after reasonable payment attempts, subject to applicable law.
9.8 Payment Processors
Payments may be processed by third-party payment processors such as Stripe.
Posma AI does not intend to directly store full payment-card information handled by those processors. Payment processing is also subject to the applicable processor's terms and privacy practices.
10. Data and AI Processing
Your use of the Services involves processing of information as described in our Privacy Policy.
Information you submit may be processed by third-party artificial-intelligence providers and other service providers as reasonably necessary to operate and provide the Services.
The providers, models, technologies, and infrastructure used to provide particular features may change over time.

11. Intellectual Property
11.1 Posma AI Technology
Posma AI and its licensors retain all rights, title, and interest in and to the Services and underlying technology, including, as applicable:
- software;
- interfaces and designs;
- branding and trademarks;
- proprietary workflows;
- prompts and system configurations;
- algorithms and technical methods;
- documentation;
- databases and platform structure; and
- other Posma AI intellectual property.
Except for the limited right to use the Services under these Terms, no rights in the Posma AI platform or technology are transferred to you.
11.2 Your Inputs
As between you and Posma AI, you retain any ownership rights you have in information and content you provide to the Services (“Inputs”).
You grant Posma AI a non-exclusive license to host, reproduce, process, transmit, modify as technically necessary, and otherwise use your Inputs as reasonably necessary to provide, maintain, secure, and operate the Services and as otherwise described in our Privacy Policy.
You represent that you have the rights, permissions, and authority necessary to provide and use your Inputs through the Services.
11.3 Generated Outputs
As between you and Posma AI, and to the extent permitted by applicable law, you may use generated outputs for your personal or commercial business purposes in accordance with these Terms.
To the extent Posma AI has any ownership rights in an output generated specifically for you through the Services, Posma AI assigns those rights to you, subject to these Terms and any applicable third-party rights.
11.4 Output May Not Be Unique
Because of the nature of artificial intelligence, generated outputs may not be unique. Other users or AI systems may receive or generate identical or similar content, ideas, language, strategies, structures, or recommendations.
Posma AI does not warrant that an output is:
- unique;
- original;
- copyrightable;
- exclusively available to you;
- non-infringing; or
- eligible for intellectual-property protection.
You are responsible for evaluating outputs before commercial publication or use where intellectual-property rights are material.
11.5 Feedback
If you voluntarily provide suggestions, ideas, or feedback concerning the Services, you permit us to use that feedback to evaluate, develop, and improve Posma AI without obligation to compensate you, provided that this does not transfer ownership of your underlying business information or Inputs.
12. Third-Party Services and Integrations
The Services may integrate with, link to, depend upon, or otherwise interact with third-party services.
If you choose to connect a third-party service, your use of that service may also be governed by the third party's terms and privacy practices.
Posma AI does not control third-party services and cannot guarantee their availability, security, performance, continued compatibility, data practices, or functionality.
We are not responsible for interruptions, changes, restrictions, errors, or losses caused solely by third-party services outside our reasonable control, except to the extent responsibility cannot lawfully be excluded.
13. Suspension and Termination
You may stop using the Services at any time and may cancel a paid subscription as described in Section 9.
We may restrict, suspend, or terminate your access where reasonably necessary, including if:
- you materially violate these Terms;
- required payment remains unpaid;
- your use creates a security, legal, fraud, abuse, or operational risk;
- you attempt to circumvent platform restrictions or safeguards;
- we are required to do so by law or a service provider on which the Services materially depend; or
- continued provision of the Services to you becomes unlawful.
Where reasonably practicable and appropriate, we may provide notice or an opportunity to remedy a violation before termination. Immediate action may be taken where reasonably necessary to protect users, Posma AI, third parties, or the Services.
Termination does not eliminate obligations or liabilities that arose before termination.
Sections that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, liability, indemnification, dispute resolution, and accrued payment obligations—will survive.
14. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”
Posma AI disclaims warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those warranties may lawfully be disclaimed.
Without limiting other provisions of these Terms, we do not warrant that:
- the Services will be uninterrupted or error-free;
- AI-generated outputs will be accurate, complete, current, unique, or appropriate for every purpose;
- any particular feature or third-party integration will remain available;
- use of the Services will produce any particular business, marketing, financial, professional, or competitive result; or
- compliance-aware safeguards will identify every legal, regulatory, factual, ethical, or professional issue.
Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Posma AI, Inc. and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunities, goodwill, data, listings, leads, customers, or anticipated savings, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, Posma AI's aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
(a) the amount you paid to Posma AI for the Services during the 12 months immediately preceding the event giving rise to the claim; or
(b) US$100.
The limitations in this Section apply regardless of the theory of liability, to the extent permitted by law.
Nothing in these Terms limits or excludes liability to the extent such liability cannot legally be limited or excluded.
16. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Posma AI, Inc. and its directors, officers, employees, contractors, and affiliates from and against third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Inputs or other materials you provide through the Services;
- your publication, distribution, communication, or other use of generated outputs;
- your material violation of these Terms;
- your violation of applicable law, regulation, MLS rule, brokerage requirement, or professional obligation;
- your infringement, misappropriation, or violation of another person's intellectual-property, privacy, publicity, or other rights; or
- your fraud, willful misconduct, or unauthorized misuse of the Services.
Posma AI will provide reasonable notice of an indemnified claim where practicable and may participate in its defense.
You may not settle a claim in a manner that admits liability by Posma AI or imposes obligations on Posma AI without our prior written consent.
17. Governing Law and Venue
These Terms and disputes arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.
Subject to any rights or remedies that cannot lawfully be waived, disputes not resolved informally will be brought in a state or federal court of competent jurisdiction located in Delaware, and the parties consent to the jurisdiction and venue of those courts.
Nothing in this Section prevents either party from seeking appropriate temporary or injunctive relief where necessary to protect intellectual-property rights, confidential information, account security, or the integrity of the Services.
18. Changes to the Services or Terms
We may update these Terms from time to time to reflect changes in the Services, business operations, legal requirements, security considerations, or other legitimate reasons.
When we update these Terms, we will update the “Last Updated” date.
If a change is material, we may provide additional notice through the Services, by email, or through another reasonable method where appropriate or required by law.
Changes will apply prospectively from their effective date unless applicable law permits or requires otherwise.
If you do not agree to materially revised Terms, you should discontinue use of the Services and cancel any applicable subscription.
19. General Terms
These Terms, together with the Privacy Policy and any additional terms expressly presented to you for a particular feature, subscription, or transaction, constitute the agreement governing your use of the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our prior written consent, except where applicable law provides otherwise. Posma AI may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar business transaction.
Headings are provided for convenience and do not affect interpretation.
Nothing in these Terms creates an employment, agency, partnership, joint venture, fiduciary, franchise, or similar relationship between you and Posma AI.
